These Terms of Service ("Terms") govern your access to and use of the FlagIQ website (flagiq.io) and all services provided by FlagIQ ("we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

FlagIQ provides AI-powered open-source intelligence (OSINT) due diligence reports on individuals, companies, and cryptocurrency wallets. Our reports are based solely on publicly available information and are delivered as PDF documents.

FlagIQ reports are intelligence documents — NOT legal advice, NOT formal investigations, and NOT definitive determinations of fraud, criminal activity, or any other conclusion. They should not be relied upon as the sole basis for any business, legal, financial, or personal decision.

2. Nature of Reports & Disclaimer of Liability

By using our services, you acknowledge and agree that:

Our reports are based on publicly available, open-source information gathered at a specific point in time. Information may be incomplete, outdated, or inaccurate.
FlagIQ does not conduct private investigations, surveillance, hacking, or access any non-public data sources.
Our reports do not constitute legal opinions, formal accusations, credit checks, or criminal background checks.
A risk score is an analytical assessment, not a factual determination. A high risk score does not mean an entity is engaged in fraud or illegal activity. A low risk score does not guarantee an entity is safe to do business with.
We do not guarantee the accuracy, completeness, or timeliness of any information in our reports.
FlagIQ is not a licensed private investigation firm, law firm, financial advisory service, or regulated compliance provider.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAGIQ, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR ANY REPORT WE PRODUCE — INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, REPUTATIONAL HARM, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3. Your Responsibilities

By submitting a request, you represent and warrant that:

You have a legitimate and lawful purpose for requesting the due diligence report.
You will not use our reports to harass, stalk, threaten, or cause harm to any individual or entity.
You will not use our reports in violation of any applicable law, regulation, or the rights of any third party.
All information you provide to us is accurate and truthful to the best of your knowledge.
You have the authority to request the investigation on behalf of yourself or your organisation.
You will independently verify any information in our reports before making decisions based on it.
You understand that our reports are starting points for further investigation, not final conclusions.

4. Indemnification

You agree to indemnify, defend, and hold harmless FlagIQ, its owners, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services; (b) any report we produce at your request; (c) your breach of these Terms; (d) any claim by a third party related to an investigation you requested; or (e) your violation of any applicable law or regulation.

5. Payment & Refunds

Payment is required before work on a report begins.
Prices are listed in US Dollars (USD) and are subject to change without notice.
Once a report has been delivered, no refunds will be issued.
If we are unable to produce a report for any reason, a full refund will be provided.
We reserve the right to decline any request at our sole discretion without providing a reason.

6. Intellectual Property

All reports, content, designs, branding, and materials on flagiq.io are the intellectual property of FlagIQ. You may use reports we deliver to you for your own internal business purposes only. You may not resell, redistribute, publish, or share our reports publicly without our prior written consent.

7. Confidentiality

We treat all requests as confidential. We do not:

Contact or notify the subject of any investigation
Share your request details with any third party (except as required by law)
Publicly disclose that an investigation was conducted

However, we cannot guarantee confidentiality in the event of a court order, subpoena, or other lawful governmental request for information.

8. Prohibited Uses

You agree not to use our services for:

Any unlawful purpose or in violation of any applicable law or regulation
Harassment, stalking, intimidation, or threats against any person
Employment screening in violation of applicable employment laws (e.g., FCRA in the US)
Determining eligibility for credit, insurance, housing, or government benefits
Any purpose that violates the privacy rights of the investigation subject
Submitting false or misleading information in your request
Automated or bulk submissions without prior agreement

9. Limitation of Liability

In no event shall FlagIQ's total liability to you for all claims arising out of or related to these Terms or our services exceed the amount you paid for the specific report giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

10. No Warranty

OUR SERVICES AND REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Third-Party Data Sources

Our reports rely on data from third-party public sources including but not limited to government registries, public databases, news outlets, social media platforms, blockchain explorers, and WHOIS registries. We are not responsible for the accuracy, availability, or completeness of data provided by these third-party sources.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States of America. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting legal@flagiq.io. If a dispute cannot be resolved informally within 30 days, either party may pursue formal legal remedies.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlagIQ regarding the use of our services and supersede all prior agreements, representations, and understandings.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
